TERMS OF USE

These Terms of Use (“Terms”) govern your access to and use of the website located at addynetworks.com and any related services, applications, or platforms (collectively, the “Services”) operated by Addy Networks (“we,” “us,” or “our”). All content, features, and functionality of the Services — including but not limited to text, graphics, logos, images, audio, video, data compilations, and software — are owned by Addy Networks or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes only.

You may not copy, reproduce, distribute, publish, display, perform, modify, create derivative works from, or otherwise exploit any content from the Services without our prior written permission.

6. User-Generated Content

If you submit, post, or upload any content to the Services (“User Content”), you grant Addy Networks a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, distribute, and display such content in connection with operating and improving the Services. You represent and warrant that you own or have the necessary rights to grant this license and that your User Content does not violate any third-party rights.

We reserve the right, but have no obligation, to monitor, edit, or remove User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ADDY NETWORKS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ADDY NETWORKS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Addy Networks and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Services, your User Content, or your violation of these Terms.

11. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any reason, including your breach of these Terms. Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, and limitations of liability.

14. SMS / Text Messaging Program

14.1 Program Name and Description

Addy Networks operates an SMS messaging program (the “SMS Program”) at addynetworks.com. By opting in, you agree to receive recurring automated text messages from Addy Networks, which may include account alerts and notifications, service and status updates, promotional offers and announcements, and customer support communications.

14.2 How to Opt In

You may opt in to receive SMS messages by providing your mobile phone number on our website or by texting a designated keyword to our designated number as shown on addynetworks.com. By opting in, you expressly consent to receive text messages from Addy Networks. Consent is not a condition of any purchase.

14.3 Message Frequency

Message frequency varies based on your account activity and program enrollment. You may receive up to [X] messages per month. Addy Networks reserves the right to adjust message frequency with notice.

14.4 Message and Data Rates

Message and data rates may apply. Standard wireless carrier messaging and data rates apply to all text messages sent to and from Addy Networks. Addy Networks is not responsible for any charges billed by your wireless carrier.

14.5 How to Opt Out — Reply STOP

You may opt out of our SMS Program at any time. To unsubscribe, reply STOP to any text message you receive from us. After opting out, you will receive a single confirmation text and no further messages will be sent unless you re-enroll. You may also opt out by contacting us at legal@addynetworks.com.

14.6 Help and Support — Reply HELP

For help or more information about the SMS Program, reply HELP to any message from us, or contact us at legal@addynetworks.com or visit addynetworks.com. We will respond to HELP requests promptly during normal business hours.

14.7 Supported Carriers

The SMS Program is available on most major U.S. wireless carriers. Carrier support may vary. Addy Networks is not liable for delayed or undelivered messages resulting from carrier issues outside our control.
